Terms and Conditions
This Agreement applies to purchases made from The Gut Lab Inc., including wellness programs, resets, consultations, educational materials, Chinese herbal formulations, supplements, topical products, and any related services or products offered through our website, online store, or other sales channels.
By purchasing, accessing, or participating in a program, consultation, or service, or by purchasing or using a product from The Gut Lab, you (the “Client” or “Customer”) acknowledge that you have read and understood the applicable terms below and agree to be bound by them.
If you do not agree to these terms, you should not proceed with the purchase or participate in the applicable service.
1. PROGRAM COMMITMENT & PARTICIPATION
1.1 Program Duration
The Client acknowledges that programs offered by The Gut Lab have a specified duration, which may include a defined number of weeks, consultations, check-ins, or other services.
The Company will make reasonable efforts to provide the support, resources, and services described in the applicable program. Unless expressly stated otherwise in writing, program access and support are limited to the stated program duration.
Missed check-ins, unused consultations, uncompleted activities, or periods of inactivity do not automatically entitle the Client to an extension, replacement session, credit, or refund. Any exceptions are at the Company's discretion, subject to applicable law and any express commitments made when the program was purchased.
1.2 Client Responsibility
The Client acknowledges that their participation and engagement are important components of the program.
The Client is responsible for reviewing the program materials, asking questions when clarification is needed, communicating relevant health information, and deciding whether recommendations are appropriate for their individual circumstances.
1.3 Adherence to Recommendations
The Client agrees to make a reasonable effort to follow the program guidelines, educational recommendations, lifestyle suggestions, and protocols they choose to undertake.
The Client understands that recommendations may include dietary adjustments, stress-management practices, sleep routines, movement, journaling, and other wellness activities.
The Client is not required to follow a recommendation they reasonably believe may be unsafe or inappropriate. They should seek clarification from The Gut Lab or an appropriate healthcare professional when necessary.
1.4 Client Communication
The Client is responsible for providing accurate information, responding to relevant requests, and notifying the Company of material changes that may affect their participation.
The Company is not responsible for delays or limitations in support caused by incomplete information, failure to submit required materials, or missed appointments, except where otherwise required by law or expressly agreed in writing.
2. PAYMENT, CANCELLATION & REFUND POLICY
2.1 Payment
Unless otherwise stated at the time of purchase, full payment is required before the commencement of a program or service and before program materials, manuals, consultations, formulations, or other deliverables are provided or shipped.
Where a payment plan is expressly offered and agreed upon, the Client agrees to comply with the payment schedule and terms provided at the time of purchase.
2.2 Program Commencement
A program may be considered commenced when the Client receives access to program materials, manuals, digital content, consultations, check-ins, or other included services, or when work on personalized deliverables begins.
2.3 Refunds and Transfers
Except where required by applicable law, expressly stated in the applicable offer, or otherwise agreed to in writing by the Company, fees paid for a program or service are non-refundable and non-transferable once the program has commenced or personalized work has begun.
Where digital materials have been accessed, physical materials or products have been shipped, or services have been provided, the Company may be unable to accept a cancellation or provide a refund, subject to applicable consumer protection laws.
Nothing in this section excludes any mandatory cancellation, refund, warranty, or other rights that may apply under applicable law.
2.4 Illness, Travel and Personal Circumstances
Illness, family emergencies, travel, scheduling conflicts, changes in personal circumstances, or an inability to participate fully do not automatically entitle the Client to an extension, credit, or refund.
The Company will consider any obligations imposed by applicable law and any specific written commitments made to the Client.
2.5 Formulations and Product Incompatibility
The Client acknowledges that individual responses to products and formulations vary.
If the Client decides not to use a formulation or product because of personal preference, intolerance, a suspected adverse reaction, or a perceived lack of benefit, this does not automatically entitle the Client to a refund for services already provided or personalized work already completed.
This provision does not waive any rights or remedies the Client may have under applicable product safety, consumer protection, or other laws.
2.6 Payment Plans
Where a payment plan is offered, the Client remains responsible for payments properly due under the agreed payment terms, subject to applicable law and any cancellation rights that apply.
3. INDIVIDUAL RESULTS & PROGRAM EXPECTATIONS
3.1 No Guaranteed Results
The Client acknowledges that health and wellness outcomes vary between individuals.
The Gut Lab does not guarantee specific results, weight loss, symptom improvement, hormonal changes, fertility outcomes, skin improvements, digestive improvements, or the resolution of any health concern.
Results may be influenced by factors including health history, genetics, medications, lifestyle, stress, sleep, consistency, environmental factors, and other circumstances beyond the Company's control.
3.2 Chronic and Long-Standing Conditions
The Client acknowledges that long-standing or complex health concerns may require individualized assessment, ongoing professional care, and time beyond the duration of a single program.
Examples may include chronic digestive concerns, hormonal symptoms, thyroid dysfunction, fertility concerns, persistent skin conditions, or symptoms described within traditional Chinese medicine (TCM), such as yin deficiency or Spleen qi deficiency.
The Gut Lab makes no representation that conditions developed over months or years can be resolved within a single program.
Additional programs or ongoing support may be considered where appropriate, but are not guaranteed to be necessary or effective for every individual.
3.3 Individual Responses
The Client understands that recommendations and products may affect individuals differently. The Company cannot predict an individual's response or guarantee that a particular approach will be suitable or effective.
3.4 Lifestyle and Participation
Some programs include recommendations relating to nutrition, movement, sleep, stress management, and nervous system regulation.
The Client acknowledges that their engagement with these recommendations may influence their experience. However, the Company does not guarantee an outcome even where the Client follows the recommendations consistently.
3.5 No Guarantee of Symptom Elimination
The Company does not promise to eliminate existing symptoms, reverse chronic conditions, prevent future health concerns, or prevent changes associated with aging.
The Client understands that wellness programs are not a substitute for appropriate medical assessment, treatment, or monitoring.
4. MEDICAL DISCLAIMER & INFORMED CONSENT
4.1 Educational and Wellness Purpose
Unless a particular service is expressly provided by an appropriately licensed healthcare professional acting within their authorized scope of practice, all information and services provided by The Gut Lab are intended for general educational and wellness purposes.
This includes information delivered through:
-
Programs, resets, and protocols.
-
Consultations and check-ins.
-
Website content, emails, and social media.
-
Manuals, recipes, educational resources, and journals.
-
Tongue observations and traditional Chinese medicine explanations.
-
Herbal formulations, product descriptions, and wellness recommendations.
Such information is not a substitute for medical diagnosis, treatment, or advice from a qualified healthcare professional.
4.2 No Replacement for Medical Care
The Client understands that The Gut Lab's programs and educational materials are not intended to diagnose, treat, cure, or prevent disease unless a particular activity is lawfully provided within an appropriately licensed professional's authorized scope.
The Client should consult a qualified healthcare professional regarding symptoms, suspected medical conditions, abnormal test results, or decisions about medical treatment.
The Client agrees not to disregard medical advice or delay seeking medical attention because of information received from The Gut Lab.
4.3 Existing Conditions and Medications
The Client is responsible for disclosing relevant health information when requested and for informing an appropriate healthcare professional about products, supplements, and herbal formulations they intend to use.
The Client should consult a qualified healthcare professional before beginning a new supplement or herbal formulation, particularly when they have an existing medical condition, take prescription or non-prescription medication, or are undergoing medical treatment.
The Client should not stop, reduce, or change prescribed medication without guidance from the prescribing healthcare professional.
4.4 Traditional Chinese Medicine and Tongue Observations
Where The Gut Lab provides traditional Chinese medicine (TCM) education, tongue observations, or related wellness recommendations, these are to be understood within the scope and limitations of the particular service.
Tongue observations and TCM pattern descriptions are not, by themselves, a medical diagnosis and should not be used to rule out medical conditions or replace appropriate medical investigation.
4.5 Laboratory Testing and Health Information
Any discussion of laboratory results, health history, symptoms, or wellness markers is subject to the scope of the service being provided.
The Client should have laboratory findings and potential medical concerns interpreted by an appropriately qualified healthcare professional.
The Company does not guarantee the accuracy, completeness, or clinical interpretation of information supplied by third parties.
4.6 Client Decision-Making
The Client remains responsible for deciding whether to participate in a program or use a product, taking into account their personal circumstances and any professional advice they have received.
The Client should discontinue use of a product and seek appropriate advice if they experience a suspected adverse reaction.
Serious or potentially life-threatening symptoms require urgent medical attention.
5. HERBAL FORMULATIONS, SUPPLEMENTS & PRODUCT SAFETY
5.1 Individual Suitability
The Client acknowledges that herbal formulations, supplements, topical products, and other wellness products may carry risks, contraindications, or potential side effects.
Natural ingredients are not necessarily risk-free. Products may be unsuitable for certain individuals, and ingredients may interact with medications, supplements, foods, or existing health conditions.
5.2 Ingredient Review
Before using a product, the Client is responsible for reviewing its ingredient list, label, directions, warnings, and any product-specific instructions.
The Client should contact the Company before use if they have questions about ingredients or known sensitivities. The Company does not guarantee that a product will be free from all potential allergens or that it will be appropriate for every individual.
5.3 Pregnancy, Breastfeeding and Fertility
The Client must consult an appropriately qualified healthcare professional before using herbal formulations, supplements, or other wellness products during pregnancy, while trying to conceive, or while breastfeeding, unless the product has been specifically assessed and authorized for that use by an appropriately qualified professional.
The Client understands that some herbs and ingredients may be inappropriate during pregnancy or breastfeeding and that product suitability must be assessed individually.
No product should be assumed safe during pregnancy or breastfeeding merely because it is natural.
5.4 Children
Products must only be used by the age groups for which they are intended and in accordance with the product label.
The Client must not give a product intended for adults to a child unless its use has been appropriately assessed and authorized by a qualified healthcare professional.
Any child-specific formulation or program must be considered separately, taking into account the child's age, health history, and individual needs.
5.5 Allergies and Adverse Reactions
The Client is responsible for communicating known allergies, sensitivities, and relevant medical information before using a product or participating in a program.
Products may cause unexpected reactions, including allergic reactions, digestive discomfort, skin irritation, or other unwanted effects.
If a suspected adverse reaction occurs, the Client should stop using the product and seek appropriate medical advice. For severe reactions, the Client should seek emergency care.
The Company must not be notified instead of seeking urgent medical assistance.
5.6 Product Use and Storage
The Client agrees to use products only as directed and not to exceed recommended amounts or alter a formulation without appropriate guidance.
Products should be stored according to the label, kept out of reach of children and pets, and used only for their intended purpose.
The Client must not ingest products clearly labeled for external use only.
Products intended for topical use should be used according to their instructions. Where appropriate, the Client should perform a patch test before broader application and discontinue use if irritation develops.
5.7 Interactions and Product Limitations
The Company does not guarantee that products will be compatible with every medication, supplement, health condition, or other product.
The Client should obtain professional advice about potential interactions where relevant.
5.8 Product-Specific Instructions
This Agreement supplements, but does not replace, product-specific labels, warnings, instructions, and contraindications.
Additional warnings may apply to individual products, including restrictions concerning pregnancy, breastfeeding, children, pets, ingestion, sensitive skin, or other circumstances.
Where a product-specific warning is more restrictive than a general statement in this Agreement, the Client must follow the applicable product-specific instructions.
5.9 Product Quality and Legal Rights
The Company will take reasonable steps to provide products that conform to applicable legal requirements and their stated descriptions.
Nothing in this Agreement excludes applicable statutory warranties, mandatory product safety obligations, or other rights that cannot legally be waived.
6. PHYSICAL ACTIVITY, DIETARY CHANGES & LIFESTYLE RECOMMENDATIONS
6.1 Voluntary Participation
Some programs may include dietary changes, movement, exercise, breathing practices, journaling, or stress-management activities.
The Client acknowledges that these activities may not be appropriate for everyone and agrees to participate only to the extent reasonably suitable for their circumstances.
6.2 Individual Responsibility
The Client is responsible for considering their physical condition, health history, and abilities before undertaking any activity or dietary change.
The Client should seek professional advice before undertaking significant dietary restrictions, changes to food intake, or physical activity when medically indicated.
6.3 Stop When Necessary
The Client should stop an activity that causes concerning symptoms and seek appropriate medical guidance.
The Company does not encourage the Client to push through symptoms that may indicate injury, illness, or another medical concern.
7. PRODUCT PURCHASES, SHIPPING & CUSTOMER RESPONSIBILITIES
7.1 Product Descriptions
The Company aims to provide accurate product descriptions, ingredient information, pricing, and usage instructions.
Images, testimonials, examples, and descriptions are provided for illustrative or informational purposes and do not guarantee that a product will produce a particular outcome.
7.2 Shipping and Delivery
Estimated shipping and delivery dates are provided in good faith but may be affected by circumstances beyond the Company's reasonable control, including carrier delays, customs processing, supply-chain interruptions, or other unforeseen events.
The Company will make reasonable efforts to communicate material delays.
This provision does not exclude any rights the Client may have concerning delivery, cancellation, refunds, or remedies under applicable law.
7.3 Inspection and Reporting
The Client should inspect products upon receipt and promptly contact the Company regarding damaged, incorrect, missing, or apparently defective items.
The Client should not use a product if its packaging, seal, appearance, or condition raises a reasonable safety concern.
7.4 Proper Use
The Client agrees not to misuse, alter, resell, or redistribute products in a way that is contrary to the product instructions, applicable law, or any applicable resale restrictions.
7.5 No Resale or Redistribution of Personalized Formulations
Unless expressly authorized in writing, personalized formulations and products supplied as part of an individual program are intended for the designated Client and must not be resold, redistributed, or supplied to another person.
8. INDIVIDUAL RESULTS, TESTIMONIALS & MARKETING
8.1 Testimonials
Testimonials and customer experiences reflect the experiences of the individuals providing them. They do not establish that another person will achieve the same or similar results.
8.2 Marketing Claims
The Client understands that educational examples and descriptions of potential benefits are not promises of individual outcomes.
The Company intends to describe its products and services accurately and in accordance with applicable advertising and consumer protection laws.
8.3 No Reliance on Guaranteed Outcomes
The Client confirms that they are not purchasing a program or product on the assumption that a specific health outcome, degree of improvement, or timeline is guaranteed.
Nothing in this clause excludes liability for a misleading representation or other conduct where such liability cannot legally be excluded.
9. CONDUCT & COMMUNITY STANDARDS
9.1 Respectful Conduct
The Company seeks to maintain a respectful and supportive environment for clients, team members, practitioners, and participants.
The Client agrees not to engage in bullying, harassment, threats, intimidation, discrimination, or aggressive conduct toward the Company's representatives or other participants, whether in person, online, or through third parties.
9.2 Breach of Conduct Standards
Where the Company reasonably determines that a Client has engaged in serious misconduct, it may suspend or terminate the Client's access to a program or community, where permitted by law and subject to any applicable contractual or consumer rights.
Any refund or payment consequences will be determined in accordance with the applicable purchase terms and law.
9.3 Complaints and Feedback
The Client is encouraged to communicate concerns directly and respectfully so the Company has an opportunity to address them.
Nothing in this Agreement prevents the Client from making a truthful statement, submitting a good-faith complaint, posting an honest review, reporting a safety concern, or exercising a legal right.
The Client must not knowingly make false statements of fact or engage in unlawful harassment, threats, or other unlawful conduct.
9.4 Confidentiality of Other Participants
Where a program involves group discussions or access to other participants' personal information, the Client agrees not to disclose confidential personal information learned through the program without appropriate authorization.
9.5 Proprietary Information
The Client agrees not to use or disclose the Company's confidential business information, trade secrets, or proprietary methods for unauthorized commercial purposes.
10. INTELLECTUAL PROPERTY
10.1 Ownership
All manuals, written materials, recipes, videos, audio recordings, program structures, educational resources, branding, graphics, and other original materials supplied by The Gut Lab (collectively, the “Program Materials”) remain the property of the Company or its applicable licensors, subject to any rights held by third parties.
10.2 Limited Personal Use
The Client receives a limited, non-exclusive, non-transferable right to access and use Program Materials for their own personal, non-commercial purposes in connection with the purchased program or product.
This right does not transfer ownership of the materials to the Client.
10.3 Prohibited Use
Without the Company's prior written permission, the Client must not:
-
Copy, reproduce, publish, distribute, or sell Program Materials.
-
Upload or share paid materials publicly or with unauthorized third parties.
-
Use the Company's proprietary content to create or market a competing program or product.
-
Modify, commercially exploit, or create derivative works from Program Materials except where permitted by law.
-
Represent the Company's materials or methods as their own original work.
Nothing in this section restricts any rights that cannot legally be restricted.
10.4 Breach
Unauthorized use of Program Materials may result in suspension or termination of access, where permitted by law, and the Company may pursue remedies available under applicable intellectual property laws.
11. LIMITATION OF LIABILITY
11.1 Assumption of Ordinary Risks
The Client acknowledges that participation in wellness programs and the use of herbal formulations, supplements, topical products, and other wellness products may involve inherent risks.
These may include, depending on the activity or product, allergic reactions, skin irritation, digestive discomfort, unexpected individual responses, interactions with medications, or other adverse effects.
The Client voluntarily chooses whether to participate or use a product after reviewing relevant information and considering their individual circumstances.
11.2 Limitation to the Extent Permitted by Law
To the fullest extent permitted by applicable law, The Gut Lab Inc., its directors, officers, employees, contractors, agents, and affiliates will not be liable for losses arising from risks that are inherent in the voluntary use of a product or participation in a program, or from the Client's misuse of a product, failure to follow applicable safety instructions, or failure to disclose material information when reasonably requested.
This limitation applies only to the extent that the relevant loss was not caused by conduct for which the Company is legally responsible and for which liability cannot be excluded.
11.3 Excluded Categories of Loss
To the fullest extent permitted by law, the Company will not be liable for indirect, incidental, special, exemplary, or consequential losses arising from a purchase, program, or service, including loss of income, business opportunities, or anticipated benefits.
Nothing in this clause excludes liability where such exclusion is prohibited by applicable law.
11.4 No Exclusion of Non-Waivable Liability
Nothing in this Agreement excludes or limits liability for fraud, fraudulent misrepresentation, gross negligence, wilful misconduct, or any other liability that cannot legally be excluded or limited.
Nothing in this Agreement removes mandatory consumer rights, applicable product liability rights, or other statutory protections.
11.5 No Blanket Waiver of Product Safety Obligations
The Company does not seek to exclude any legal obligation it has concerning product safety, accurate product descriptions, mandatory warnings, or the provision of services in accordance with applicable law.
11.6 Third-Party Services
The Company may use third-party providers for payment processing, shipping, manufacturing, software, or other services.
The Company is not responsible for independent acts of third parties beyond the scope of its legal responsibility. This provision does not exclude any liability the Company may have under applicable law for selecting, directing, representing, or relying on a third party.
12. INDEMNIFICATION
12.1 Client Conduct
To the extent permitted by law, the Client agrees to indemnify The Gut Lab Inc. against reasonable losses, liabilities, costs, and expenses, including reasonable legal fees where recoverable, arising from the Client's unlawful conduct, intentional misconduct, or material breach of this Agreement.
12.2 Limits on Indemnification
The Client is not required by this Agreement to indemnify the Company for losses to the extent they result from the Company's own negligence, breach of contract, unlawful conduct, or other conduct for which the Client cannot legally be required to provide indemnification.
12.3 No Automatic Assumption of Third-Party Claims
Any indemnification obligation will be subject to applicable law and the circumstances of the claim. The Company will provide reasonable notice of a claim for which it seeks indemnification and will not settle a claim in a manner that imposes a new obligation on the Client without the Client's consent, except where otherwise permitted by law.
13. PRIVACY & PERSONAL INFORMATION
13.1 Collection and Use
The Company may collect personal information necessary to process purchases, provide programs and services, communicate with Clients, arrange delivery, maintain records, and fulfill legal obligations.
13.2 Health Information
Where a Client voluntarily provides health information for a program or consultation, the Company will handle that information in accordance with its applicable privacy policy and the privacy laws that apply to the Company.
The Client should avoid submitting unnecessary sensitive information through unsecured communication channels.
13.3 Third-Party Platforms
The Company may use third-party platforms to provide programs, collect forms, manage client records, process payments, or communicate with Clients.
Those platforms may process information under their own applicable terms and privacy policies.
13.4 Privacy Policy
The Company's privacy policy should be reviewed alongside this Agreement. Where applicable, the privacy policy will explain how personal information is collected, used, disclosed, retained, and protected.
14. MODIFICATION OF AGREEMENT
14.1 Written Amendments
Any amendment to an individually negotiated agreement must be made in writing and accepted by the parties where required.
14.2 Updates to Website Terms
The Company may update its website terms for future purchases by publishing a revised version and identifying its effective date.
Unless otherwise required by law, changes will not retroactively alter the terms of a completed purchase without an appropriate legal basis or the Client's agreement where required.
If a change materially affects an existing program or contractual commitment, the Company will address that change in accordance with the applicable agreement and law.
15. ENTIRE AGREEMENT
This Agreement, together with any applicable product-specific terms, program description, order confirmation, privacy policy, and other written terms expressly incorporated into the purchase, constitutes the agreement governing the relevant purchase or participation.
If a specific written program agreement conflicts with these general terms, the specific agreement will prevail to the extent of the conflict, unless applicable law requires otherwise.
Nothing in this section excludes representations, warranties, or rights that cannot legally be excluded.
16. GOVERNING LAW
This Agreement will be governed by the laws of the Province of British Columbia and the applicable laws of Canada, without excluding mandatory consumer protection laws that apply to the Client.
Subject to applicable law, disputes may be brought before a court of competent jurisdiction.
17. DISPUTE RESOLUTION
17.1 Good-Faith Resolution
The parties agree to make reasonable efforts to resolve disputes through good-faith communication.
The Client should first contact The Gut Lab using the Company's published contact details and provide sufficient information to explain the concern.
17.2 Mediation
Where a dispute cannot be resolved through direct communication, the parties may agree in writing to attempt mediation with a mutually acceptable mediator.
Unless otherwise agreed, mediation may be conducted remotely or at a mutually agreed location.
18. SEVERABILITY
If any provision of this Agreement is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision will be severed or limited to the minimum extent necessary.
The remaining provisions will continue in effect to the extent permitted by law.
19. NO WAIVER
A failure or delay by either party to enforce a provision of this Agreement does not constitute a waiver of that provision or the right to enforce it later.
Any waiver must be interpreted in accordance with applicable law.
20. ASSIGNMENT
The Client may not transfer a purchased program, consultation, or personalized service to another person without the Company's written permission, except where applicable law provides otherwise.
The Company may assign its rights and obligations where permitted by law, provided that doing so does not unlawfully diminish the Client's contractual or consumer rights.
21. ELECTRONIC ACCEPTANCE & ACKNOWLEDGMENT
By ticking the required acknowledgment box, completing a purchase, or electronically accepting this Agreement where applicable, the Client acknowledges that:
